LogiGrid Terms of Use
Last updated: [TO FILL: date]
1. About these terms
These terms are an agreement between [TO FILL: registered company name and registration number] ("LogiGrid", "we", "us") and the person or business that uses LogiGrid ("you"). If you sign up on behalf of a business, you confirm that you may bind that business.
By creating an account or using LogiGrid you agree to these terms and to our Privacy Policy.
2. The service
LogiGrid helps freight operators to create and send quotes (including revised versions), receive quote acceptances, run jobs, send driver links for proof of delivery, put together Invoice Packs, give clients a portal (signed in with an email link), send email notifications and record payments received.
LogiGrid does not move goods, process payments or hold money. Payments you record are your own records only. You stay responsible for your contracts with your clients and drivers.
3. Free service
The core LogiGrid tools are free for operators. We may add optional paid services in future. We will not charge you for anything without telling you first and getting your agreement.
Because the service is free, we may change, suspend or stop any part of it. We will try to give reasonable notice of major changes and a chance to export your information where we can.
4. Accounts and team members
- Give accurate details and keep them up to date.
- Keep your sign in details private. You are responsible for activity on your account.
- The account Owner and Admins control who has access to the organisation and what role they have. Tell us promptly at [TO FILL: email] if you suspect unauthorised access.
5. Your data and your clients' data
- You own the information you put into LogiGrid.
- For information about your clients, contacts, receivers and drivers, you are the responsible party under POPIA and we are your operator. We process it only to provide the service, on your instructions, and under our Privacy Policy. We keep it confidential and secure and tell you of any security compromise as required by section 21 of POPIA.
- You must have a lawful basis to load and share that information, and you must tell your clients and drivers how it is used (for example that quote acceptance records the IP address and device, and that proof of delivery records signature, photos and GPS location). We provide a short privacy notice on quote, pack and driver pages to help with this.
- You give us permission to host, copy and display your information only as needed to run, secure and improve the service.
6. Acceptable use
You must not:
- break any law, including POPIA, the Electronic Communications and Transactions Act and consumer protection law;
- send spam, false or misleading quotes, invoices or Invoice Packs;
- upload content that is unlawful, harmful or that you have no right to use;
- try to access another organisation's data, share access keys, or get around security, masking or access controls;
- reverse engineer, scrape, overload or attack the service;
- use the service to collect information about people beyond what is needed for your freight work.
We may suspend or close accounts that break these rules.
7. Quote acceptance and electronic records
Quotes accepted through LogiGrid are recorded electronically with the time, the details entered, a masked IP address and device information. This record is there to help you and your client resolve disputes. Whether an acceptance creates a binding contract depends on your terms with your client and on the law. LogiGrid is not a party to that contract.
8. No warranty
The service is provided "as is" and "as available". To the extent the law allows, we give no warranties, whether express or implied, including that the service will be uninterrupted, error free, or fit for a particular purpose, or that documents produced will be accepted by any client, court or tax authority. You should check documents before sending them and keep your own records.
9. Limits on liability
To the extent the law allows:
- we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill;
- we are not liable for disputes between you and your clients or drivers, or for unpaid invoices;
- our total liability to you for all claims in any 12 month period is limited to the greater of the amounts you paid us in that period or [TO FILL: e.g. R1 000].
Nothing in these terms limits liability that cannot be limited by law, including under the Consumer Protection Act where it applies, or liability for gross negligence or fraud.
10. Indemnity
You agree to compensate us for claims by third parties that arise from information you loaded, messages you sent through the service, or your breach of these terms or of the law.
11. Closing your account
You may stop using LogiGrid at any time and ask us to close your account at [TO FILL: email]. We may close an account that breaks these terms or has been inactive for a long period, with notice where reasonable. After closure we delete or de-identify your information after the retention period in our Privacy Policy, unless the law requires us to keep it.
12. Future service: Load Marketplace and escrow
We plan to offer a Load Marketplace in future, where loads can be offered and accepted, with payment held in escrow and a fee (currently planned at 5% of the load value) taken when the job is completed. This service is not available yet. Separate terms will apply and you will need to accept them before using it. Nothing in these terms gives anyone a right to marketplace or escrow services.
13. Changes to these terms
We may update these terms. We will post the new version and, for material changes, tell account holders by email. If you keep using LogiGrid after the change takes effect, the new terms apply.
14. General
- These terms are governed by the law of the Republic of South Africa, and South African courts have jurisdiction.
- If part of these terms is unenforceable, the rest still applies.
- Notices to us: [TO FILL: email and physical address for legal notices].
